Regular License Terms

  1. LICENSE GRANT
    1.1 Licensor hereby grants Licensee a non-exclusive, non-transferable, and revocable license to use the assets (the "Licensed Materials") in accordance with all applicable laws and regulations.
  2. INTELLECTUAL PROPERTY
    2.1 All intellectual property rights associated with the Licensed Materials, including but not limited to trademarks, copyrights, and any other rights, shall remain the exclusive property of Licensor.
  3. PERMITTED USES
    3.1 Licensee is permitted to use the Licensed Materials for the following purposes:
    a) Incorporating the soundbanks and/or samples into Licensee's own musical compositions and productions.
    b) Using parts or elements of the Licensed Materials in Licensee's own tracks or musical compositions.
    c) Using, exporting, and importing channel settings associated with the Licensed Materials.
    d) Creating personal videos that incorporate the Licensed Materials.
    e) Creating non-profit videos that incorporate the Licensed Materials.
    f) Using the Licensed Materials in free video games or applications.
    g) Using the Licensed Materials in social media posts, podcasts, presentations, student projects, and similar non-commercial projects.
    h) Incorporating the Licensed Materials in live performances or radio DJ sets.
  4. TERM AND TERMINATION
    4.1 The duration of the license shall be one (1) year from the date of purchase.
  5. PAYMENT AND FEES
    5.1 Licensee shall pay the specified fee to obtain the license, as agreed upon between the parties.
  6. LIMITATION OF LIABILITY
    6.1 Neither Party shall be liable to the other for any indirect, incidental, consequential, or punitive damages arising out of or related to this Agreement.
  7. GOVERNING LAW AND JURISDICTION
    7.1 This Agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts located in Canada.
